These Terms of Service ("Terms") govern your access to and use of the website https://www.essweb.online and the social media management services provided by ESSWEB LTD ("ESSWEB," "we," "us," or "our"). By using our Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.
2. Services
ESSWEB provides organic social media management services, including content planning, content production, scheduling, community management, branding, reporting, and short-form video editing. The scope and deliverables for each engagement are documented in your selected plan or signed proposal.
2.1 Acceptable use of the Services
We deliver organic, platform-compliant marketing services only. We do not, under any circumstance, offer:
- The sale of fake followers, likes, views, or engagement;
- Automated mass-DMing, mass-commenting, or similar abuse;
- Bots, scrapers, or any tool that violates platform terms of service;
- Black-hat SEO, link spam, or comment spam;
- Any service intended to mislead consumers or violate applicable law.
If a Client requests any prohibited service, we may refuse delivery and terminate the engagement without refund of work already performed.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
4. Fees, Billing, and Renewal
- Subscription plans are billed monthly in advance via secure card payment (Visa & Mastercard) over a PCI-DSS compliant payment gateway.
- Prices are displayed in EUR (€). Local taxes may apply depending on your billing region.
- Plans automatically renew at the end of each billing cycle until canceled.
- You may upgrade, downgrade, or cancel your plan at any time from your account or by contacting hello@essweb.online.
- Refunds are governed by our Refund Policy.
5. Client Responsibilities
You agree to:
- Provide accurate brand information, assets, and approvals;
- Maintain ownership of the rights to all content you supply to us;
- Comply with the terms of service of any social platform on which we operate on your behalf;
- Respond to approval requests within reasonable timelines to allow us to deliver the agreed scope.
6. Intellectual Property
Upon full payment for a given month, you receive a perpetual, non-exclusive license to use the content we produced for you during that month for your business purposes. ESSWEB retains ownership of underlying templates, frameworks, and tools used to deliver the Services.
You retain ownership of all content, assets, and trademarks you provide to us. You grant ESSWEB a limited license to use them solely to deliver the Services.
7. Confidentiality
Both parties agree to maintain the confidentiality of non-public information shared during the engagement. This obligation survives termination of these Terms.
8. No Guarantees
We do not guarantee any specific follower count, engagement rate, ranking, or revenue outcome. Results from organic social media depend on many factors outside of our control, including platform algorithms, market conditions, and the quality of the assets and information you provide.
9. Limitation of Liability
To the maximum extent permitted by law, ESSWEB's aggregate liability arising out of or related to these Terms or the Services is limited to the amount you paid us in the three (3) months preceding the event giving rise to the claim. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages.
10. Indemnification
You agree to indemnify and hold harmless ESSWEB and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services or your breach of these Terms.
11. Termination
Either party may terminate the engagement at the end of a monthly billing cycle by giving written notice. We may suspend or terminate immediately if you breach these Terms, fail to pay, or request prohibited services.
12. Governing Law and Disputes
These Terms are governed by the laws of England and Wales, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or by a prominent notice on our website at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance.
